These Terms & Conditions govern your access to and use of the MidaPOS website, platform, products, and services provided by MidaAmerica ("we", "us", "our"). By accessing or using our services, you confirm that you have read, understood, and agree to be bound by these terms.

1. Acceptance of Terms

By using the MidaPOS platform, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms. If you are using the platform on behalf of a business or entity, you agree that you have the authority to bind that entity to these Terms.

2. Services Provided

MidaPOS serves as an independent technology agent and application facilitator, helping merchants connect with optimal point-of-sale (POS) systems, payment solutions, and financial service providers. We partner with trusted companies such as Beacon Payments, NRS, and EMS, and offer concierge-style support throughout the merchant onboarding process. Our services include hardware provisioning, document submission, secure data processing, and streamlined communication with providers.

3. Account Registration

To access certain features, you may be required to register an account. You agree to provide accurate and complete information, keep it up-to-date, and maintain the security of your credentials. You are responsible for all activity under your account.

4. User Responsibilities

You agree to use the services in compliance with all applicable laws and regulations. You must not use the services for illegal, fraudulent, or unauthorized purposes. You are responsible for ensuring that your business activities comply with local, state, and federal regulations.

5. Fees and Payment

All fees associated with hardware, setup, and subscription services will be communicated during onboarding. Payment terms may vary based on the specific processing partner selected, hardware program terms, or other downstream provider agreements. Any applicable fees will be disclosed transparently during the onboarding process. Late or failed payments may result in suspension or termination of services.

6. Hardware and Equipment

MidaPOS may offer free hardware through partnerships. Users agree to maintain the equipment in good condition. Equipment may be subject to return upon cancellation. Loss or damage may incur additional fees.

7. Intellectual Property

All content, branding, graphics, and software are the exclusive property of MidaAmerica or its licensors. You may not copy, modify, reproduce, or distribute any content without written consent.

8. Data & Privacy

We value your privacy and handle all personal and business data in accordance with our Privacy Policy. This includes sensitive application data such as SSNs, EINs, banking credentials, and uploaded business documents, which are encrypted and used solely for secure application submission and onboarding. Data is retained only as long as necessary for operational and legal compliance.

9. Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, MidaPOS shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, loss of data, or business interruption.

11. Termination

We may terminate or suspend your access to services at any time, with or without cause. You may also cancel at any time by notifying our support team.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the service constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida. Any disputes arising from these Terms or services will be resolved in Hillsborough County, Florida.
